1. Application and Acceptance

These Terms and Conditions ("Terms", "T&Cs") govern the use of the NexCT corporate travel online booking software-as-a-service platform ("Platform") provided by NexCT SA (Pty) Ltd ("NexCT", "we", "us", or "our"), a company registered in South Africa with offices at Longkloof Studios, Block B, Darters Roads, Gardens, Cape Town, 8001, South Africa, part of the Travelstart Group.

By accessing or using the Platform, you ("User", "Client", "you", or "your") agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

IMPORTANT: These Terms apply to end-user Clients accessing the Platform through their Travel Management Company (TMC) or Affiliate Partner. Your TMC/Affiliate Partner has a separate contractual relationship with NexCT.

2. Definitions

Affiliate Partner/TMC: The licensed Travel Management Company that has contracted with NexCT and provides you with access to the Platform.

Client: You, the end-user customer of an Affiliate Partner/TMC who uses the Platform.

Confidential Information: All information, whether tangible or intangible, disclosed by one party to another, designated as confidential or reasonably understood to be confidential.

Intellectual Property Rights: Any and all intellectual property rights and know-how, whether registered or not, including patents, copyrights, trademarks, trade secrets, designs, and proprietary information.

Platform: The proprietary software-as-a-service platform owned and operated by NexCT for corporate travel booking and management.

Services: Access to the Platform and related support services provided through your TMC/Affiliate Partner.

3. Nature of Services

3.1 NexCT as Technology Provider

NexCT provides a web-based software platform that enables you to:

  • Search for travel and accommodation options
  • Compare pricing and availability from third-party suppliers
  • Make bookings with airlines, hotels, car rental companies, and other travel service providers
  • Manage booking records and travel itineraries
  • Access travel management tools and reporting features

3.2 NexCT is NOT a Travel Agent or Principal

IMPORTANT: NexCT is a technology provider only. We:

  • DO NOT make bookings on your behalf
  • DO NOT act as a travel agent, airline, hotel, or any other travel service provider
  • DO NOT have any contractual relationship with you regarding travel services
  • ARE NOT responsible for the fulfillment of travel or accommodation services
  • Act solely as a software platform facilitating connections between you and third-party suppliers

3.3 Your TMC/Affiliate Partner Relationship

Your primary contractual relationship is with your TMC/Affiliate Partner, who:

  • Provides you with access to the Platform
  • Is responsible for first-line customer support
  • Manages billing and payment arrangements with you
  • Is responsible for your account setup, configuration, and booking policies

3.4 Third-Party Supplier Contracts

When you make a booking through the Platform, you enter into a direct contract with the third-party supplier (airline, hotel, car rental company, etc.). The supplier's terms and conditions govern that contract, not NexCT.

4. Platform Access and User Accounts

4.1 Account Setup

Your TMC/Affiliate Partner will set up your account and provide you with access credentials. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities conducted through your account
  • Promptly notifying your TMC/Affiliate Partner of any unauthorized access
  • Updating your account information when changes occur

4.2 Account Security

You must not:

  • Share your account credentials with unauthorized parties
  • Allow others to use your account
  • Attempt to access other users' accounts or data
  • Use automated systems to access the Platform without authorization

4.3 Account Configuration

Your TMC/Affiliate Partner is responsible for configuring your account, including:

  • Booking policies and approval workflows
  • User roles and permissions
  • Travel policy rules and restrictions
  • Budget controls and cost center allocations

NexCT has no responsibility for configuration errors or omissions made by your TMC/Affiliate Partner.

5. Acceptable Use

5.1 Permitted Use

You may use the Platform solely for:

  • Searching and booking legitimate business or personal travel
  • Managing your travel itineraries and expenses
  • Accessing travel-related information and reports
  • Communication with your TMC/Affiliate Partner regarding bookings

5.2 Prohibited Activities

You must not:

  • Use the Platform for any illegal purposes or in violation of any laws
  • Store or transmit infringing, libelous, or unlawful material
  • Store or transmit malicious code, viruses, or harmful software
  • Interfere with or disrupt the Platform's integrity or performance
  • Attempt to gain unauthorized access to the Platform or related systems
  • Use automated scripts, bots, or scrapers to extract data
  • Reverse engineer, decompile, or attempt to discover the Platform's source code
  • Resell, rent, lease, or sublicense Platform access to third parties
  • Use the Platform in any way that could damage NexCT's reputation
  • Make fraudulent bookings or provide false information

5.3 Compliance with Travel Policies

You agree to comply with:

  • Your organization's travel policies as configured in the Platform
  • Your TMC/Affiliate Partner's booking procedures and requirements
  • All applicable laws and regulations regarding travel
  • Third-party supplier terms and conditions

6. Bookings and Reservations

6.1 Booking Process

When you make a booking through the Platform:

  • You are entering into a direct contract with the third-party supplier
  • The supplier's terms and conditions apply to that booking
  • You are responsible for reading and understanding supplier terms before booking
  • Prices, availability, and terms are provided by suppliers and may change without notice

6.2 Booking Confirmation

Upon completing a booking, you will receive confirmation containing:

  • Booking reference numbers
  • Travel itinerary details
  • Supplier contact information
  • Payment confirmation
  • Relevant terms and conditions

It is your responsibility to review all booking confirmations for accuracy.

6.3 Payment for Bookings

Payment arrangements are managed by your TMC/Affiliate Partner. You should:

  • Understand your organization's payment procedures
  • Ensure authorized payment methods are used
  • Maintain records of all transactions
  • Report any payment discrepancies to your TMC/Affiliate Partner

6.4 Third-Party Supplier Terms

Common supplier terms you must be aware of include:

  • Fare rules and restrictions (non-refundable, change fees, etc.)
  • Cancellation and amendment policies
  • Check-in requirements and deadlines
  • Baggage allowances and fees
  • Passport, visa, and health documentation requirements
  • Age restrictions and special requirements

You are responsible for familiarizing yourself with all applicable supplier terms before confirming any booking.

7. Changes, Cancellations, and Refunds

7.1 Changes to Bookings

To change a booking:

  • Using the change functionality in NexCT where applicable, alternatively
  • Contact your TMC/Affiliate Partner
  • Suppliers change fees and fare differences may apply
  • Some bookings cannot be changed (check fare and booking rules)
  • Changes are subject to availability

7.2 Cancellations

To cancel a booking:

  • Cancel in NexCT if the functionality has been activated for your organisation, alternatively
  • Contact your TMC/Affiliate Partner immediately
  • Cancellation penalties are determined by the supplier
  • Some bookings are non-refundable
  • Your TMC/Affiliate Partner may charge cancellation fees

7.3 Refunds

Refund eligibility and processing are governed by:

  • The third-party supplier's refund policy
  • Your TMC/Affiliate Partner's procedures
  • The payment method used

NexCT does not process refunds. All refund requests must be directed to your TMC/Affiliate Partner, who will coordinate with the relevant supplier. Refund processing times vary by supplier.

7.4 Non-Refundable Bookings

Many bookings made through the Platform are non-refundable or subject to significant penalties. We strongly recommend purchasing comprehensive travel insurance.

8. Travel Documents and Requirements

8.1 Your Responsibility

You are solely responsible for ensuring you have:

  • Valid passport (typically valid for 6 months beyond return date)
  • Appropriate visas for destination and transit countries
  • Required vaccinations and health certificates
  • Unabridged birth certificates for minors (where applicable)
  • Authorization letters if traveling with minors
  • International driving permits (if renting vehicles)
  • Travel insurance coverage

8.2 Name Accuracy

CRITICAL: Ensure all passenger names match identity documents exactly:

  • Check spelling carefully before confirming bookings
  • Middle names, hyphens, and spacing must match documents
  • Name changes may not be permitted or may incur significant fees
  • Some airlines require complete ticket reissuance for name errors

NexCT and your TMC/Affiliate Partner are not liable for denied boarding due to name discrepancies.
